1. Who we are & acceptance
These Terms of Use (the “Terms”) are an agreement between you and Loopi, Inc. (“Loopi,” “we,” “us”), a Delaware C-Corporation. They govern your use of our mobile app, website, and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.
2. What Loopi is
Loopi is an educational and informational product: it presents market data, charts, scores, and plain-English explanations to help you learn about the stock market. The Loopi Score and feed rankings are universal. Every user sees the same scores and the same ordering. A plan you sign is built from your own answers and the limits you set, and is described in section 5.
3. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the Services. Connecting a brokerage account additionally requires that you meet your brokerage's own eligibility requirements.
4. Your account
You're responsible for the accuracy of the information you give us, for keeping your sign-in credentials secure, and for everything that happens under your account. Tell us right away at hello@loopi.company if you suspect unauthorized access.
5. Brokerage connections & trading
You can optionally connect a brokerage account you already hold through our account-aggregation partner, SnapTrade. When you do:
- Your brokerage account stays at your brokerage. Loopi never holds, custodies, or touches your funds or securities.
- Orders you place through Loopi are transmitted to your own brokerage for execution in your own account, subject to your brokerage's terms, availability, and market conditions. Some brokerages are view-only through Loopi.
- You alone decide what to buy or sell. Every order is your decision and your responsibility, including its tax consequences. That includes the orders Loopi places inside a plan you signed, described below.
- Your brokerage credentials are handled by SnapTrade and are never stored on our servers or visible to the app.
Plans, standing permission and assistants
You can sign a plan: a set of limits you choose, such as how much you add a month, the most you will ever have invested, the most in any one holding, and anything you would never own. Loopi builds the plan from your answers and shows you every limit before you sign it. Signing happens only on our site or in our app, with a deliberate confirmation, and you can change or pause the plan at any time.
When you sign a plan you can also grant standing permission. With it, Loopi may place orders inside your plan without a separate confirmation for each one: only to invest new cash you added and to keep your mix on target, only into the holdings your plan names or that you already own, and only up to the per-order and per-day amounts you accepted when you granted it. Those limits are enforced in our code at the moment of each order. Anything outside your plan still waits for your confirmation. You can pause standing permission at any time, and pausing stops every order from that moment. Orders placed under standing permission are your orders, placed in your own brokerage account on your instruction, and the results, including losses and tax consequences, are yours.
You can connect an AI assistant you already use, such as Meta Muse, Claude or ChatGPT, to your Loopi account. The assistant is a third party under its own terms. Through Loopi it can read your plan, holdings and activity, draft a plan from your answers, propose trades, and ask Loopi to run the plan you signed. It cannot turn a plan on, confirm a trade, or change your limits; only you can, on our site or in our app. You are responsible for what you ask an assistant to do, and for keeping your assistant account secure. You can disconnect an assistant at any time on our site.
Loopi, Inc. is not a broker-dealer, investment adviser, exchange, or bank.
6. Price
Loopi is free. We do not charge for the app, for your plan, or for the trades Loopi places for you. Your brokerage may charge its own fees under its own terms. If we ever introduce a paid plan, we will tell you at least 30 days before it applies to you, and nothing you already use will start costing money without your agreement.
7. App license (EULA)
We grant you a personal, non-exclusive, non-transferable, revocable license to use the Loopi app on devices you own or control, for your own non-commercial use. For copies of the app downloaded from the Apple App Store, Apple's standard Licensed Application End User License Agreement also applies; where these Terms conflict with it regarding the app license, Apple's standard EULA controls for that copy. Apple is not responsible for the Services and has no obligation to furnish maintenance or support; Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it.
8. Educational content disclaimer
Everything in the Services (the Loopi Score, feed rankings, notes, briefs, charts, heatmaps, and any accompanying commentary) is provided for informational and educational purposes only. It does not constitute investment advice, a recommendation, an offer, or a solicitation to buy or sell any security, and should not be relied upon in making any investment decision. Investing involves risk, including the possible loss of principal, and past performance does not guarantee future results. Consider consulting a licensed financial, tax, or legal professional before acting.
9. Acceptable use
Don't misuse the Services. In particular, you agree not to:
- Break the law, or use the Services to do so
- Access another person's account, or share, sell, or transfer yours
- Probe, scrape, reverse-engineer, or interfere with the Services or their security
- Redistribute or resell market data or content from the Services
- Use the Services to spam, harass, or defraud anyone
10. Intellectual property
The Services, including the Loopi name, logo, app, design, scores, and content, are owned by Loopi, Inc. or our licensors and are protected by intellectual-property laws. Apart from the license in section 7, no rights are transferred to you.
11. Third-party services
The Services rely on third parties we don't control: brokerages, SnapTrade, market-data providers, app stores, and any AI assistant you choose to connect. Their services are governed by their own terms, and we're not responsible for their availability, accuracy, or actions. Market data may be delayed and is provided “as is.”
12. Disclaimers & limitation of liability
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any information is accurate, complete, or timely.
To the fullest extent permitted by law, Loopi, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or investment losses, arising out of or relating to your use of the Services. Our total liability for any claim will not exceed the greater of $50 or the amounts you paid us in the 12 months before the claim arose. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
13. Termination
You can stop using the Services or delete your account at any time by contacting hello@loopi.company. We may suspend or terminate your access if you violate these Terms, if we're required to by law, or if we discontinue the Services. Sections that by their nature should survive (8, 10, 12, 15) survive termination.
14. Changes to these terms
If we make material changes, we'll notify you through the app or by email before they take effect. The “Effective” date at the top always reflects the current version. Continuing to use the Services after changes take effect means you accept them.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute that can't be resolved informally will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction. You and Loopi each waive any right to a jury trial or to participate in a class action, to the extent permitted by law.
